Brand Ambassador Agreement
1. The Parties and Effective Date
This Brand Ambassador Agreement (Agreement) is between Optimum World Charity Inc. (Company) and the participating enrollee identified below (Ambassador). The Agreement becomes effective when the Ambassador completes paid enrollment in the Opti-Life Makeover Challenge or the Opti-Life Coach and Business Consultant Program (the Program).
2. Eligibility and Scope
The Ambassador may recommend the Program to friends, family, and personal networks using only the unique referral link or code issued by the Company. The Ambassador may not represent that they are authorized to bind the Company or make offers, guarantees, or representations on the Company's behalf.
3. Compensation and Ambassador Benefits
For each Successful Guest Registration directly attributed to the Ambassador's unique referral link or code, the Ambassador earns a commission equal to five percent (5%) of the amount the guest pays for the applicable Program registration, excluding taxes, processing fees, refunds, chargebacks, credits, and discounts. A commission may not exceed $250 per person.
"Successful Guest Registration" means a new guest's completed paid enrollment in the Program that (a) is correctly tracked to the Ambassador's unique referral link or code, (b) has cleared the Company's payment process, and (c) has not been refunded, reversed, canceled, charged back, or determined by the Company in good faith to be fraudulent, duplicate, or obtained through a violation of this Agreement.
The Ambassador may also receive bonus discounts and promotional gifts when offered by the Company, subject to availability and any stated eligibility requirements.
Alternative payout: Before the applicable payout is processed, the Ambassador may submit the Company's required written designation to direct a commission payment to one loved one or other recipient as a gift to lower an enrollee's tuition.
4. Invited Guest Benefits
A guest who registers through the Ambassador's unique referral link or code may receive the following benefits, subject to availability and the terms communicated at registration:
• A registration discount of up to $250. • One free copy of the book "False Identity: The Enemy Within Is Not You." • Immediate complimentary access to the Opti Life Evaluation Tool. • New bonus discounts and promotional gifts, subject to availability.
5. Payout Method and Timeline
All commission payments are processed exclusively through Stripe. The Ambassador must maintain an active and valid Stripe account and provide all information that Stripe or the Company needs to receive payment.
The Company will calculate and pay eligible commissions no later than forty-five (45) days after the last day of the calendar quarter in which the applicable Successful Guest Registration occurred.
6. Refunds, Chargebacks, and Commission Recovery
If a guest receives a refund, reversal, cancellation, or chargeback, the related commission is not earned or is subject to recovery.
Before payment: the related pending commission will be canceled.
After payment: the Ambassador must promptly repay the full related commission upon the Company's written request. The Company may instead deduct the amount from future commissions to the extent permitted by applicable law.
7. Promotional Rules and Consequences of Violation
The Ambassador must use only truthful, lawful, and Company-approved promotional materials and claims. Prohibited activities include posting referral links on coupon or deal-aggregator websites; bidding on Company trademarks through paid advertising without prior written approval; spamming; impersonating the Company brand; and making false or misleading claims about the Company or Program.
A material violation may result in immediate termination. Commissions earned before termination for compliant registrations remain payable except as provided in Section 6.
8. Compliance and Independent Contractor Status
The Ambassador must comply with all applicable laws and advertising rules, including clear and conspicuous disclosure of the Ambassador's financial relationship with the Company when making public endorsements or sharing referral links.
The Ambassador is an independent contractor and is not an employee, agent, partner, joint venturer, or representative of the Company.
9. Terms of Use and Privacy Policy
This Agreement is made in accordance with the Company's Terms of Use and Privacy Policy posted on the Company's website. If there is a conflict between this Agreement and those documents concerning the ambassador program, this Agreement controls.
10. Program Changes and Termination
The Company may modify the Program terms or terminate an Ambassador's participation with thirty (30) days' notice for material changes, or immediately for a material violation or unethical promotion. A change will not retroactively reduce commissions already earned for Successful Guest Registrations that occurred before the effective date of change, except for refunds, chargebacks, fraud, or a violation of this Agreement.

Marketing Affiliate Agreement
1. The Parties and Effective Date
This Marketing Affiliate Agreement (Agreement) is between Optimum World Charity Inc. (Company) and the registering promotional partner identified below (Affiliate). This Agreement becomes effective when the Company approves the Affiliate's application.
2. Eligibility and Performance Requirements
The Affiliate qualification period begins on the Effective Date and ends twelve (12) months later. To qualify for Affiliate status, the individual must generate at least fifty (50) Successful Client Registrations during that initial 12-month period. If the individual does not meet that requirement, the individual will remain in the Ambassador tier.
A "Successful Client Registration" means a new client's completed, fully paid enrollment in the Opti-Life Makeover Challenge that (a) is correctly tracked to the individual's unique tracking link, (b) has cleared the Company's payment process, and (c) has not been refunded, reversed, canceled, charged back, or determined by the Company in good faith to be fraudulent, duplicate, or obtained through a violation of the applicable program agreement.
The Affiliate must maintain at least fifty (50) Successful Client Registrations during each subsequent rolling 12-month period measured from the Effective Date.
3. Compensation and Tiered Volume Bonuses
For each Successful Client Registration, the Affiliate earns a commission equal to fifteen percent (15%) of the amount paid for the enrollment, excluding taxes, processing fees, refunds, chargebacks, credits, and discounts. No commission may exceed $500 per enrollment, except as provided for Tier 3 below.
Tier 1 — Base Professional (50–99 registrations): 15% commission, up to $500 per client.
Tier 2 — Growth Bonus (100–199 registrations): 15% commission plus a $1,000 milestone bonus.
Tier 3 — Elite Partner (200+ registrations): Commission increases to 20%, up to $750 per client, plus a $2,500 milestone bonus.
4. Provided Marketing Assets and Support
The Company grants the Affiliate a non-exclusive, revocable right to use the official promotional resources the Company makes available for the Program, including marketing training modules, promotional videos, brand banners, and technical support for tracking and dashboards.
The Affiliate may use the resources only to promote the Program and may not alter them in a way that is misleading or inconsistent with Company instructions.
5. Payout Method and Timeline
All commission and milestone bonus payments will be processed exclusively through Stripe. The Company will calculate and pay eligible commissions no later than forty-five (45) days after the last day of the calendar quarter in which the applicable Successful Client Registration occurred. Annual milestone bonuses are paid no later than forty-five (45) days after the end of the first calendar quarter following the year in which earned.

The Company may modify program terms or terminate this Agreement with thirty (30) days' notice for material changes, or immediately for a material violation or unethical promotion. Changes will not retroactively reduce commissions already earned for Successful Client Registrations occurring before the effective change date except for refunds, chargebacks, fraud, or a violation of this Agreement.

Internship & Scholarship Agreement
1. The Parties and Term
This Internship and Scholarship Agreement (Agreement) is between Optimum World Charity Inc. (Company) and the selected scholarship recipient identified below (Intern). The internship begins on the Internship Start Date and ends six (6) months later, unless ended earlier under Section 11.
2. Scope of Services and Remote Work
The Intern will perform educationally supervised operational, administrative, or community-support tasks assigned by the Company. The Intern will commit at least ten (10) hours per week to internship duties, performed remotely. The Intern must accurately record internship hours and completed tasks each week using the Company's designated process.
3. Scholarship Award
In connection with the internship, the Company awards the Intern a scholarship covering tuition for the six-month Opti Life Makeover Challenge. The scholarship is not redeemable for cash, has no cash alternative, and is not transferable.
4. Income Eligibility Verification
The Intern certifies eligibility for this need-based program by confirming that the Intern's annual household income is below the applicable 2026 Federal Poverty Guideline:
• 1 person: $15,960 · 2 people: $21,640 · 3 people: $27,320 · 4 people: $33,000 • 5 people: $38,680 · 6 people: $44,360 · 7 people: $50,040 · 8 people: $55,720 • Add $5,680 for each additional person beyond 8.
Applicants in Alaska or Hawaii are subject to the applicable 2026 federal guideline for that location.
5. Performance and Attendance Standards
To remain in good standing and retain scholarship access, the Intern must reliably complete at least 10 documented internship hours each week, maintain active participation in the Opti Life Makeover Challenge, demonstrate professional conduct and timely communication, and follow reasonable written instructions and security practices.
6. Confidentiality
"Confidential Information" means non-public information the Intern receives or accesses through the internship, including proprietary coaching materials, client data, business workflows, credentials, and non-public marketing information. The Intern may use Confidential Information only as necessary to perform authorized internship duties.
The confidentiality obligations continue during the internship and for ten (10) years after it ends; trade secrets must be protected for as long as they remain trade secrets under applicable law.
7. Intellectual Property
"Work Product" means original materials the Intern creates specifically in performing assigned internship duties or using Company Confidential Information. To the extent permitted by applicable law, the Intern assigns to the Company all right, title, and interest in Work Product. The Intern retains ownership of pre-existing materials but grants the Company a perpetual, non-exclusive, worldwide, royalty-free license to use any pre-existing materials incorporated into Work Product.
8. Legal Status
The parties intend an educational internship relationship. The Intern is not eligible for Company employee benefits, healthcare, or unemployment compensation by virtue of this Agreement.
9. Additional Income and Activities
The Intern may apply for and earn income as a Marketing Ambassador or Affiliate, or participate in other paid or unpaid work, provided the activity does not interfere with internship performance, use Company Confidential Information, create a conflict of interest, or undermine the Company.
10. Terms of Use and Privacy Policy
This Agreement is made in addition to the Company's Terms of Use and Privacy Policy. If there is a conflict between this Agreement and those documents concerning the internship or scholarship, this Agreement controls.
11. Termination and Scholarship Revocation
Either party may terminate this Agreement by giving seven (7) days' written notice. Upon ordinary termination, the Intern's scholarship access will continue through the end of the seven-day notice period and then end.
The Company may terminate immediately and revoke scholarship access if the Intern materially fails to meet the 10-hour weekly commitment, submits fraudulent income information, materially breaches confidentiality, materially misuses Company property or Work Product, or engages in serious misconduct.
