Brand Ambassador Agreement
Referral commissions, guest benefits, payout terms, and promotional rules for Optimum World Charity Brand Ambassadors.
1. The Parties and Effective Date
This Brand Ambassador Agreement (Agreement) is between Optimum World Charity Inc. (Company) and the participating enrollee identified below (Ambassador). The Agreement becomes effective when the Ambassador completes paid enrollment in the Opti-Life Makeover Challenge or the Opti-Life Coach and Business Consultant Program (the Program).
2. Eligibility and Scope
The Ambassador may recommend the Program to friends, family, and personal networks using only the unique referral link or code issued by the Company. The Ambassador may not represent that they are authorized to bind the Company or make offers, guarantees, or representations on the Company's behalf.
3. Compensation and Ambassador Benefits
For each Successful Guest Registration directly attributed to the Ambassador's unique referral link or code, the Ambassador earns a commission equal to five percent (5%) of the amount the guest pays for the applicable Program registration, excluding taxes, processing fees, refunds, chargebacks, credits, and discounts. A commission may not exceed $250 per person.
"Successful Guest Registration" means a new guest's completed paid enrollment in the Program that (a) is correctly tracked to the Ambassador's unique referral link or code, (b) has cleared the Company's payment process, and (c) has not been refunded, reversed, canceled, charged back, or determined by the Company in good faith to be fraudulent, duplicate, or obtained through a violation of this Agreement.
The Ambassador may also receive bonus discounts and promotional gifts when offered by the Company, subject to availability and any stated eligibility requirements.
Alternative payout: Before the applicable payout is processed, the Ambassador may submit the Company's required written designation to direct a commission payment to one loved one or other recipient as a gift to lower an enrollee's tuition.
4. Invited Guest Benefits
A guest who registers through the Ambassador's unique referral link or code may receive the following benefits, subject to availability and the terms communicated at registration:
• A registration discount of up to $250. The exact discount, if any, is the amount displayed through the referral link or code when the guest completes registration; it may vary by Program, promotion, and eligibility. • One free copy of the book "False Identity: The Enemy Within Is Not You." • Immediate complimentary access to the Opti Life Evaluation Tool. • New bonus discounts and promotional gifts, subject to availability.
5. Payout Method and Timeline
All commission payments are processed exclusively through Stripe. The Ambassador, or an approved designated recipient, must maintain an active and valid Stripe account and provide all information that Stripe or the Company needs to receive payment. The Ambassador remains responsible for the designation and for any tax consequences of the commission.
The Company will calculate and pay eligible commissions no later than forty-five (45) days after the last day of the calendar quarter in which the applicable Successful Guest Registration occurred. If Stripe account information or required tax information is incomplete or invalid, payment may be delayed until the information is corrected.
6. Refunds, Chargebacks, and Commission Recovery
If a guest receives a refund, reversal, cancellation, or chargeback, the related commission is not earned or is subject to recovery, as applicable.
Before payment: the related pending commission will be canceled.
After payment: the Ambassador must promptly repay the full related commission upon the Company's written request. The Company may instead deduct the amount from future commissions to the extent permitted by applicable law. This obligation also applies when the payout was directed to a designated recipient.
7. Promotional Rules and Consequences of Violation
The Ambassador must protect the Company's brand and may use only truthful, lawful, and Company-approved promotional materials and claims. Prohibited activities include:
• Posting referral links on public coupons, discounts, or deal-aggregator websites. • Bidding on Company names, trademarks, or keywords, including Opti-Life, through Google Ads, Meta Ads, or other paid advertising networks without the Company's prior written approval. • Spamming, including unsolicited email, automated comments, or unsolicited posts in online forums. • Creating websites, social media pages, or other content that impersonates or mimics the Company or its official brand. • Making false, misleading, unsubstantiated, or unauthorized claims about the Company, the Program, or expected results.
A material violation of this Section or other unethical promotion may result in immediate termination. The Company may cancel commissions that are attributable to the violation and any related pending rewards. Commissions earned before termination for compliant Successful Guest Registrations remain payable under this Agreement, except as provided in Section 6 or where the Company determines in good faith that fraud or a material violation affected the registration.
8. Compliance and Independent Contractor Status
The Ambassador must comply with all applicable laws and advertising rules, including clear and conspicuous disclosure of the Ambassador's financial relationship with the Company when making public endorsements or sharing referral links. Examples may include #ad or #sponsored when accurate and appropriate, but the Ambassador remains responsible for disclosures that are clear in context.
The Ambassador is an independent contractor and is not an employee, agent, partner, joint venturer, or representative of the Company. Nothing in this Agreement gives either party authority to bind the other.
9. Terms of Use and Privacy Policy
This Agreement is made in accordance with the Company's Terms of Use and Privacy Policy posted on the Company's website, each as in effect on the Effective Date. If there is a conflict between this Agreement and those documents concerning the ambassador program, this Agreement controls.
10. Program Changes and Termination
The Company may modify the Program terms or terminate an Ambassador's participation. The Company will provide notice of a material change by email to the address associated with the Ambassador's enrollment or Stripe account, by notice in the Ambassador's account, or by posting notice on the Program website. Unless the notice states a later effective date, a change becomes effective thirty (30) days after notice.
A change will not retroactively reduce commissions already earned for Successful Guest Registrations that occurred before the effective date of change, except for refunds, chargebacks, fraud, or a violation of this Agreement. The Company may terminate participation immediately for a material violation or unethical promotion, as described in Section 7.
